    2. Can I invest in Tata Capital NCDs now?
        The public issue of NCDs was open till February 24, 2009. The NCDs are listed on the cash segment of NSE. Investors who are interested in investing in the NCDs can purchase the NCDs from the open market through NSE registered brokers.Further on an on-going basis, Tata Capital may also issue NCDs on a private placement basis with varied maturities.     3. What are the interest payment due dates for all four options of the NCD?
        As per the terms of the Prospectus, interest under various options will be paid on the following dates:

        Monthly Interest Payment Option
        1st day of every month
        Option II
        Quarterly Interest Payment Option
        1st day of June, September, December and March every year
        Option III
        Annual Interest Payment Option
        1st day of March every year
        Option IV
        Cumulative Interest Payment Option
        On maturity
         
        If the date of interest payment falls on a Saturday, Sunday or a public holiday in Mumbai or any other payment centre notified in terms of the Negotiable Instrument Act, 1881, then the interest would be paid on the next working day.
    4. What is the maturity period of the NCDs? When can I redeem my NCDs?
        The NCDs will be redeemed after the maturity of 60 months from the date of allotment subject to the put and call option which may be exercised at the end of 36 months in case of monthly, annual and cumulative interest payment options and at the end of 42 months in case of quarterly interest payment option. The date of allotment of NCDs for all the interest payment options is March 6, 2009 and the redemption date at the end of the maturity period of 60 months will be March 5, 2014. At the end of maturity period, the debenture holders will receive redemption proceeds which include face value of the NCDs plus any interest that may have accrued till the redemption date
    5. What is the ISIN numbers of NCDs?
        The NCDs are issued in dematerialised form in arrangement with NSDL and CDSL. The details of ISIN for all four options are as under:

    6. How can I get quotes / market price of the NCDs on the NSE website?
        The NCDs are listed on the cash segment of NSE. The Investors can log on to NSE’s website, www.nseindia.com and qet the quotes of the NCDs by using common scrip code “TATACAP” and series numbers as under:

    7. What is the purpose of interest accrual statement?
        After the completion of every financial year (i.e. a period of 12 months commencing on April 1 of a year and ending on March 31 of the succeeding year), the Company will send to the NCD holders an interest accrual statement showing computation of interest accruing in the financial year, mainly for the reference of the debenture holders for tax purpose.
        Interest on NCDs shall be paid on respective due dates as mentioned in Q.2 above, to those NCD holders whose names appear in the register of NCD holders on the Record Date. The interest rates for NCDs under various interest payment options are as under:

    8. Will the interest on these NCDs be taxable and subject to tax deducted at source (TDS)?
        Interest on NCDs received by the NCD holders would be subject to tax at the normal rates of tax as per the Income Tax Act, 1961. However as per the provisions of section 193 of the Income Tax Act, 1961, no TDS shall be deducted on the interest on any securities issued by a Company in dematerialised form and listed on a recognised stock exchange. Please note that on rematerialisation of NCDs (i.e. conversion from demat to physical), TDS shall be deducted at applicable rates as per the Income Tax Act, 1961.
    9. Other information?
        Interest on NCDs received by the NCD holders would be subject to tax at the normal rates of tax as per the Income Tax Act, 1961. However as per the provisions of section 193 of the Income Tax Act, 1961, no TDS shall be deducted on the interest on any securities issued by a Company in dematerialised form and listed on a recognised stock exchange.
